  Florian Hule:hi everyone

Matthieu Camus:Thank you! Good evening everyone!

  Oksana Prykhodko:Hi everyone!

  Silvia Vivanco:Hello everyone!

  Erich Schweighofer:Hi everyone.

  JJS (Jean-Jacques Subrenat):Hello All!

  Oksana Prykhodko:bad sound(

JJS (Jean-Jacques Subrenat):Florian, your audio is coming and going: could you speak closer to the mic.?

Yesim Nazlar:@Florian: can we dial-out to you for a better audio please?

  JJS (Jean-Jacques Subrenat):better

  Oksana Prykhodko:better

Oksana Prykhodko:I am for ICANN Ombudsman

JJS (Jean-Jacques Subrenat):Thanks Florian. Quick remarks: under Dispute Settlement, Swiss litigation is EXPENSIVE; under Quorum, the usual expression is "simple majority".

JJS (Jean-Jacques Subrenat):@Olivier +1, escalation: EURALO Board, then ICANN Ombudsman.

Oksana Prykhodko:Does EURALO Board  decision or ICANN Ombudsman will have obligatory mandate?

  JJS (Jean-Jacques Subrenat):@Florian: 3 months seems reasonable.

Wolf Ludwig:let's call it "in due time" ...

Florian Hule:Due-time can vary very much.

Erich Schweighofer:We should have a clear term, maybe a possibility of extension by the EURALO Board.

JJS (Jean-Jacques Subrenat):@Oksana: I don't think it would be mandatory, but "advice" which it would be in our interest to follow.

  Silvia Vivanco:Ombudsman Article 5 By Laws: https://urldefense.proofpoint.com/v2/url?u=https-3A__www.icann.org_resources_pages_governance_bylaws-2Den_-23article5&d=DwIFaQ&c=FmY1u3PJp6wrcrwll3mSVzgfkbPSS6sJms7xcl4I5cM&r=mrDeztziKLa7gZqGADzxcnHA3QXmXYsnChWYBR4NElI&m=Pu6GBGCt-kiqGDQZSuuP_TjqWVPNBYlCZkglhnPDZI8&s=1LU8e3qrTVxcKN5fOEUPiiANczxohCWadtiqWljxwFA&e=

  Silvia Vivanco:Ombudsman: https://urldefense.proofpoint.com/v2/url?u=https-3A__www.icann.org_ombudsman&d=DwIFaQ&c=FmY1u3PJp6wrcrwll3mSVzgfkbPSS6sJms7xcl4I5cM&r=mrDeztziKLa7gZqGADzxcnHA3QXmXYsnChWYBR4NElI&m=Pu6GBGCt-kiqGDQZSuuP_TjqWVPNBYlCZkglhnPDZI8&s=JyEPeUDzZzkQK3WzJM1BEscaVT0nwTBuVB-w8KaBbvg&e=

Oksana Prykhodko:I will not go to Swiss court, but I would be happy to have any dispute-resolution mechanisms in EURALO/ICANN

Oksana Prykhodko:Besides, ICANN Ombudsman's decisions are confidential, am I rigft?

JJS (Jean-Jacques Subrenat):@Olivier: as far as I know, the Ombudsman cannot enforce any resolution; he/she advises the party having brought the case to him/her, but reports only to the Board.

Wolf Ludwig:Just BTW: The upper authority of the EURALO Association is the General Assembly = total of members!

  JJS (Jean-Jacques Subrenat):Florian: bad audio.

Silvia Vivanco:@ Oksana : Complaints to the ombudsman are completely confidential. The fact that you have made a complaint is never disclosed unless you expressly waive confidentiality. This is very important for those who are concerned about an imbalance of power and consequences if a complaint is made.

JJS (Jean-Jacques Subrenat):@Silvia reminds us of an important point. And, as indicated above, as far as I know the Ombudsman CANNOT ENFORCE.

Oksana Prykhodko:@Silvia Thank you. I am asking about Ombudsman's decision

Silvia Vivanco:The ICANN Ombudsman has jurisdiction over complaints which arise from things which happen in the communityThe Ombudsman cannot make, change or set aside a policy, administrative or Board decision, act, or omission, but may investigate these events, and to use ADR technique to resolve them and make recommendations as to changes.

Oksana Prykhodko:So, for can be the role of Ombudsman?

Erich Schweighofer:So, then why not go for arbitration?

Yesim Nazlar:Florian is now on the bridge

JJS (Jean-Jacques Subrenat):@Oksana: his role would be that of honest arbitration.

Silvia Vivanco:More info on Ombudsman scope of action : https://urldefense.proofpoint.com/v2/url?u=https-3A__www.icann.org_en_system_files_files_ombudsman-2Dtrifold-2Dv02-2Dletter-2D04oct16-2Den.pdf&d=DwIFaQ&c=FmY1u3PJp6wrcrwll3mSVzgfkbPSS6sJms7xcl4I5cM&r=mrDeztziKLa7gZqGADzxcnHA3QXmXYsnChWYBR4NElI&m=Pu6GBGCt-kiqGDQZSuuP_TjqWVPNBYlCZkglhnPDZI8&s=SRPEClawErOF4WuPmkshZKUKJvE3IR746RxEksoiqfk&e=

Oksana Prykhodko:@JJS We are talking about willing to reach consensus - even with the help of Ombudsman. If there is no will for such consensus?

  Oksana Prykhodko:GA by mayority?

JJS (Jean-Jacques Subrenat):@Oksana: Wolf is just replying to that question.

Oksana Prykhodko:@JJS I  posted another one)

JJS (Jean-Jacques Subrenat):Erich, please speak more loudly!

Wolf Ludwig:We are talking about hypothtical scenarios ... but finally you cannot circumvent the upper to final authority of the GA!

JJS (Jean-Jacques Subrenat):@Staff: under Action Items #3, I suppose you should make clear that it would be EURALO General Assembly?...

  JJS (Jean-Jacques Subrenat):@Staff: thanks.

  Oksana Prykhodko:@Erich extrmely interesting point!

Silvia Vivanco:@ JJS yes I have added  EURALO GA

  JJS (Jean-Jacques Subrenat):@Silvia, thanks.

Florian Hule:1what about barring members of the GA from voting if they have a conflict of interest? We use that in the Austrian Limited Liability Companies.

Erich Schweighofer:o.k. for optional. It should be also not too time-consuming and too complicated.

JJS (Jean-Jacques Subrenat):Staff: under Action Item on Dispute Settlement, point 3, better put "Arbitration (3 EURALO Members designated randomly, or volunteers)": would this be ok?

Wolf Ludwig:It was always managed via ICANN ...

Silvia Vivanco:Current Articles of Incorporation on Funding : https://urldefense.proofpoint.com/v2/url?u=https-3A__community.icann.org_display_EURALO_Articles-2Bof-2BAssociation&d=DwIFaQ&c=FmY1u3PJp6wrcrwll3mSVzgfkbPSS6sJms7xcl4I5cM&r=mrDeztziKLa7gZqGADzxcnHA3QXmXYsnChWYBR4NElI&m=Pu6GBGCt-kiqGDQZSuuP_TjqWVPNBYlCZkglhnPDZI8&s=U6-kkv_IvV9oNbbF2HvYWqSKzK2islaHlTYMXjIuTP8&e=

Silvia Vivanco:Part E - FINANCIAL MATTERS 7 Funds of the Association

Olivier MJ Crépin-Leblond:In pervious discussions,  the consensus was to scrap section 7 altogether

Erich Schweighofer:An association without the option for a bank account is not ideal. I

Roberto Gaetano:In the beginning there were also some people who wanted to have EURALO financially independent from ICANN, therefore a financial management was needed.

Roberto Gaetano:(continue) This approach was abandoned

Wolf Ludwig:@Erich: Life as such is never "ideal" :-)!

Oksana Prykhodko:The more I hear you, the more i am becoming convinced, that Ukrainian law is the best just now!

Wolf Ludwig:It's a common standard for all RALOs!

  Erich Schweighofer:"Solange" wording - o.k.

Erich Schweighofer:We do not do it NOW but EURALO Board can decide on that later, not requiring a change of By-Laws

Roberto Gaetano:If we have a bank account, we definitively need a Treasurer

Wolf Ludwig:If you start dealing with own budgets and money, then you consequently need Revisoren, auditors etc.

JJS (Jean-Jacques Subrenat):@Olivier: under US law, this step would create huge difficulties, e.g. inconsistency between the status of ICANN as a whole (501(b)) and one of its small parts i.e. EURALO.

Erich Schweighofer:Yes - we need auditors, one of the EURALO members can do this. For very few transactions, that is done very quickely.

JJS (Jean-Jacques Subrenat):... and an Audit Committee!

Wolf Ludwig:And almost NO realistic chance ...

Erich Schweighofer:@JJS - under Austrian law, we all do this we 100.000's of associations - without much problems.

JJS (Jean-Jacques Subrenat):@Erich: well, the US is not yet a member of the EU, and fiscal dispositions are quite different.

Erich Schweighofer:Roles of treasurer, auditor etc. are necessary, but with few transactions, that is a non-brainer

Olivier MJ Crépin-Leblond:The table of Quorum proposals (Google Doc) that I put together for 2016EURALO GA : https://urldefense.proofpoint.com/v2/url?u=http-3A__bit.ly_2q1ziw4&d=DwIFaQ&c=FmY1u3PJp6wrcrwll3mSVzgfkbPSS6sJms7xcl4I5cM&r=mrDeztziKLa7gZqGADzxcnHA3QXmXYsnChWYBR4NElI&m=Pu6GBGCt-kiqGDQZSuuP_TjqWVPNBYlCZkglhnPDZI8&s=qGLYoMPBG2Y28yKZhR8zYbFl6k9WbpbPT6MjasPSSwQ&e=

Roberto Gaetano:Can we have a table that summarizes what are the benefits of having a bank account and what are the obligations that derive from this under Swiss law?

JJS (Jean-Jacques Subrenat):@Quorum: in the very useful draft under our eyes, I suggest we use the common expression "by simple majority" (instead of "single majority").

Erich Schweighofer:Make it more simple - 1/2 quorum; if more are coming - great!

Florian Hule:I am terribley sorry. I am only to write for the last 5 minutes.

  Roberto Gaetano:@Erich +1

Oksana Prykhodko:In Copenhagen, as far as I know< even those members, who were in Copenhagen, did not participate in GA

Erich Schweighofer:Quorum 1/2, simple majority, but at least 2/6 members voting

Roberto Gaetano:For non funded F2F meetings we still have the possibility to join remotely

Florian Hule:Sorry everyone. I have to leave now, my next assingement is about to start. Goodbye and until next time!

  Silvia Vivanco:Thank you Florian!

Wolf Ludwig:I agree to this suggestion to penalize not attending members when funded.

  Roberto Gaetano:@Oksana & Wolf: +1

  JJS (Jean-Jacques Subrenat):@Oksana, Wolf, Roberto: +1.

  JJS (Jean-Jacques Subrenat):Goodbye All!

  Oksana Prykhodko:Thank you all, bye!

Silvia Vivanco:Staff will send a doodle for next call in 2 weeks

  Matthieu Camus:Thank you, bye!

  Erich Schweighofer:Servus from Vienna
