  Silvia Vivanco:Hi Jean-Jacques

  Oksana Prykhodko:Hello all

Jean-Jacques Subrenat:@Olivier, you have an eloquent chin.

  Terri Agnew:Welcome Yuliya Morenets

  Yuliya Morenets:Hello, good evening

Silvia Vivanco:but we have the new version of the by laws now on the wiki : https://community.icann.org/display/EURALO/Articles+of+Association

Terri Agnew:Brief reminder of Process - as described in Task Force on review and revision of the EURALO By-Laws: https://community.icann.org/x/iAZ1Aw

Roberto Gaetano:I was not on the previous call, sorry

Silvia Vivanco:Tasks are posted on the screen

Silvia Vivanco:Roberto we have transcripts and recordings of the call so you can review if you wish

Terri Agnew:EURALO Bylaws Taskforce Action items: https://community.icann.org/x/KT_AAw

  Terri Agnew:EURALO By-Laws: https://community.icann.org/x/mzd-Ag

  Terri Agnew:Welcome Matthieu Camus

Silvia Vivanco:4.6  A new European ALS will be created to "collect" unaffiliated individuals from the region. This ALS would be part of the existing EURALO structure and would need to fulfil the minimum ALS requirements according to the ALS formation framework (see http://www.atlarge.icann.org/en/framework.htm and also ICANN Bylaws http://www.icann.org/en/general/bylaws.htm#XI-2.4i). Once it is an integral part of the EURALO structure, this ALS would have the same rights and responsibilities as any other regional ALS.

  Silvia Vivanco:article 4.6

  Silvia Vivanco:see above

Oksana Prykhodko:could you p[lease call me again?

  Terri Agnew:@Oksana, will do

  Oksana Prykhodko:Thank you!

Jean-Jacques Subrenat:The Individual Users' Association has a website, on which the legal background is set out clearly, http://individualusers.org/about/

Terri Agnew:@Mikhail, we are unable to hear  you. Would you like a dial out on the telephone?

Wolf Ludwig:Brief coclusion: If we would particularly mention the EURLO Ind. Assoc. in a revised Bylaw version -- besides article 4.6 -- it would strongly contradict the compromise we found in spring 2011!

Silvia Vivanco:Jean Jacques please speak up

Silvia Vivanco:or closer to your mic please

Olivier Crepin-Leblond:I can hear him fine

Wolf Ludwig:Roberto's points were *operational* only and not referred to the Bylaws!

Jean-Jacques Subrenat:@Olivier, I take note with satisfaction that closing down this Association is not an option.

Wolf Ludwig:There are no Bylaws changes needed, Jean-Jacques. For what reason?

Jean-Jacques Subrenat:@Olivier: yes, "has been created" should be the new wording.

Wolf Ludwig:"... has been created ..." would be the only necessaty.

  Jean-Jacques Subrenat:@Wolf: agreed.

Jean-Jacques Subrenat:@Olivier: rather than "non geographical", I would suggest "not specific to one European country".

Wolf Ludwig:The geographical question is an issue for the EURALO Ind. bylaws but not "as a specification" for the EURALO Bylaws.

  Jean-Jacques Subrenat:@Wolf (geo. question); agreed.

Wolf Ludwig:That's a practical suggestion for the EURALO Website -- fully agreed!

Wolf Ludwig:But it's an *operational* point, Roberto, with no relevance for Bylaws!

Wolf Ludwig:@Roberto: you never talk "HOW to organize a meeting (wherever) in the Bylaws -- it's just a practical or operational question.

Terri Agnew:@Wolf, we are unable to hear you, please check your mute

Roberto Gaetano:@Wolf - I agree, but I would like to be overly cautious, so that we are sure to be all on the same page

Jean-Jacques Subrenat:@Wolf, on the Individual Users' website, our Bylaws makes clear that membership is not limitied to any one European country, http://individualusers.org/files/Bylaws_EuroIndividuals_Association.pdf

Jean-Jacques Subrenat:and more specifically, "The  Euro  Individuals  Association  was  created  in  December  2012  to  offer  a  home  and  legal structure  for  all  those  individuals  participating  regularly  at  activities  of  ICANN’s  European  / regional At-Large Organization (EURALO). By the creation of its Association, individuals from all over Europe can gather and assume a voting right at EURALO’s annual General Assembly (GA), as stipulated in EURALO’s amended Bylaws from May 2011 in Belgrade."

Wolf Ludwig:That's what I said, Jean-Jacques, the Ind. Assoc. is a cross-European entity.

Wolf Ludwig:Many of our ALSes are no "legal entities" or associations in a strict sense!

Jean-Jacques Subrenat:@Mikhail, allow me to disagree on your use of the term "special". It is just one other ALS, with one specific aspect (non limited to one European country), but not "special status" or "privilege".

Yuliya Morenets:We can say any kind of help or contribution, in nature, etc, it's what you are saying Mikail practically, like contribution in nature

Olivier Crepin-Leblond:4.6 a. A new European ALS has been created to offer a home to unaffiliated individuals from the region. This ALS is part of the existing EURALO structure and needed to fulfil the minimum ALS requirements according to the ALS formation framework and ICANN Bylaws.

Jean-Jacques Subrenat:@Mikhail: again, the term "special" is misleading.

Olivier Crepin-Leblond:b. This ALS has the same rights and responsibilities as any other regional ALS.

  Mikhail Medrish:OK

Olivier Crepin-Leblond:c. This ALS is not specific to one European country and is hence a cross-European entity

Olivier Crepin-Leblond:d. Only one such ALS can be created

Olivier Crepin-Leblond:e. Information about this ALS needs to be displayed on the first page of the EURALO Web Site.

  Wolf Ludwig:That's a reasonable basis -- except e!

  Jean-Jacques Subrenat:@Olivier: agreed on all, except e.

Wolf Ludwig:That's a practical point -- not for the Bylaws (e) -- Otherwise ordinary ALSes may request the same right or highlightening on the website.

  Roberto Gaetano:@Wolf - indeed

Wolf Ludwig:That sounds like a good compromise!

  Wolf Ludwig:Thanks!

Jean-Jacques Subrenat:@Olivier, under b it would be useful to add that this ALS was certified (Staff: add date and reference).

Wolf Ludwig:Perhaps just mention it in brackets (...)

  Jean-Jacques Subrenat:@Wolf: yes, in brackets.

Silvia Vivanco:@ JJS your suggestion is noted

  Wolf Ludwig:Good point Olivier!

  Jean-Jacques Subrenat:@Thanks Silvia.

Silvia Vivanco:@ Olivier when you would like a next call?

Silvia Vivanco:@ Mikhail I can send you all other RALOs regulations

  Silvia Vivanco:okay next week

Jean-Jacques Subrenat:@All: thank you for the positive work on the Individual Users' Association!  ;-)

  Mikhail Medrish:I have, @Silvia

Wolf Ludwig:We can try to follow your availabilities, Olivier

  Silvia Vivanco:Okay Mikhail thank you

  Matthieu Camus:thank you, good night!

  Mikhail Medrish:Bay

  Oksana Prykhodko:thank you all, bye
