Summary
Board directs General Counsel to analyze the GNSO's recommendation to modify the Bylaws in the areas of openness and transparency and to propose final wording for a Bylaws amendment after a public comment period.
Text
Whereas, the Board has received a request from the Council of the Generic Names Supporting Organization regarding possible changes to the ICANN Bylaws intended to enhance the openness and transparency of ICANN's operations.
Resolved (05.89) the Board directs the General Counsel to analyze the request, to seek any necessary clarification from the GNSO on the substance of the proposal, and to return to the Board with final proposed wording for an amendment to the Bylaws, subject to the usual public comment period for proposed Bylaws changes.

Additional Information
- WIthout need for Bylaws changes, the transparency issue has been addressed. As a practical matter, the Board agreed to an operating practice to post all contractual matters impacting third parties for no less than 30 days, where practicable. In addition, the Registry Services Evaluation Process, and the related Registry Service Workflow, anticipate and define processes - including reference to public comment - for achieving contractual amendments.
